1. Acceptance of Terms

By accessing or using Aesthera CRM ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. These terms apply to all users, including administrators, staff, and trial users.

2. Description of Service

Aesthera CRM is a cloud-based customer relationship management platform designed for educational consultancies. The Service includes student management, document processing, payment tracking, analytics, and communication tools. Features may vary by subscription plan.

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us immediately of any unauthorized use. Each user must have a unique account — sharing accounts is prohibited.

4. Subscription & Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are quoted in Nepalese Rupees (NPR) and are non-refundable except where required by law. We reserve the right to modify pricing with 30 days' notice. Trial accounts are provided for 14 days with full feature access and do not require payment information.

5. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) upload malicious code or attempt to breach security; (c) interfere with other users' access to the Service; (d) scrape, reverse-engineer, or copy the Service; (e) use the Service to store or transmit content that violates any third party's intellectual property rights.

6. Data Ownership

You retain all rights to the data you upload to Aesthera CRM. We do not claim ownership of your content. You grant us a limited license to process, store, and display your data solely to provide the Service. Upon account termination, your data will be retained for 30 days before permanent deletion.

7. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors outside our control, including internet outages, third-party service failures, or force majeure events.

8. Limitation of Liability

To the maximum extent permitted by law, Aesthera Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

9. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately if you violate these Terms. Upon termination, your right to use the Service ceases immediately. Sections relating to data ownership, limitation of liability, and governing law survive termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nepal. Any disputes arising from these Terms shall be resolved through arbitration in Kathmandu, Nepal, unless otherwise agreed by both parties.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance of the revised Terms.
